These Terms of Service ("Terms") govern your use of Schedly.ai (the "Service"),  ("Schedly", "we", "us").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a company, you confirm you are authorized to bind it to these Terms.

- You must provide accurate information when registering and keep it up to date.

- You are responsible for your login credentials and for all activity under your account.

- Notify us at [email protected] if you suspect any unauthorized use.

- We may suspend or terminate accounts that contain false information or are used in breach of these Terms.

Schedly lets you plan, generate, schedule, and publish content to social media platforms, including AI-assisted content and caption generation.

The Service depends on third-party platform APIs. Features may change or become unavailable if a platform changes its API, and we are not responsible for such third-party changes. We may add, modify, or remove features at any time.

- Plans. The Service is offered under paid subscription tiers as shown on our pricing page at https://schedly.ai/pricing.

- Billing. Subscriptions are billed in advance on a recurring monthly or annual basis through our payment processor, Stripe.

- Auto-renewal. Your subscription renews automatically each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal.

- AI Credits. Certain features, including AI image and video generation, consume credits. Credits may be included with your subscription, provided as promotional or bonus credits, or purchased separately.

- Credit Usage. Credits are consumed when an eligible AI generation or processing request is submitted or completed. Because these services incur processing costs, consumed credits cannot be restored, refunded, or exchanged for cash except where required by law.

- Additional Credits. Credit packs or additional credits purchased separately are non-refundable once purchased, except where required by applicable law.

- Promotional Credits. Free, promotional, or bonus credits have no cash value and are non-refundable.

- Taxes. Prices exclude applicable taxes (e.g., VAT) unless stated otherwise.

- Failed payments. If a payment fails, we may suspend or downgrade your account until it is paid.

- Cancellation. You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then.

- 7-Day Money-Back Guarantee. First-time purchases of eligible Schedly subscription plans are covered by a 7-day money-back guarantee starting from the date of purchase. If you are not satisfied with the Service, you may request a refund within this period by contacting us at [email protected].

- AI Credit Usage. AI image, video, and other AI-powered generations incur third-party processing costs. The value of credits already consumed during the refund period may therefore be deducted from any refund amount. Consumed credits themselves are non-refundable.

- Bonus and Promotional Credits. Bonus, promotional, complimentary, or otherwise free credits have no monetary value and are not refundable or convertible into cash.

- Additional Credit Purchases. Separately purchased credit packs are non-refundable, except where required by applicable law.

- Refund Eligibility. The 7-day money-back guarantee applies to the initial purchase of an eligible subscription and does not apply to subscription renewals, separately purchased credits, or other add-on purchases unless expressly stated otherwise.

- Refund Abuse. We reserve the right to refuse or limit refunds where we reasonably determine that the money-back guarantee is being abused, including cases involving unusually high consumption of AI resources followed by a refund request.

- After the Guarantee Period. Except where required by law, subscription payments are non-refundable after the 7-day money-back guarantee period, and we do not provide refunds or credits for partial billing periods or unused features.

- EU/EEA Consumers. Consumers in the EU/EEA may have statutory rights, including rights relating to withdrawal from digital service contracts. Nothing in these Terms limits any mandatory consumer rights that cannot legally be waived or restricted.

- Ownership. You keep all rights to the content you create or upload. We do not claim ownership.

- License to us. You grant us a non-exclusive, royalty-free license to host, store, process, and publish your content solely to provide the Service (including posting to your connected accounts at your direction).

- Your responsibility. You are responsible for your content and for having all rights and permissions for any third-party material it contains.

- AI Output. The Service may generate content from your inputs. AI Output can be inaccurate or similar to content generated for others — review and verify it before publishing. We do not guarantee its originality, accuracy, or that it is free of third-party rights.

To use certain features you connect third-party accounts (e.g., Instagram, Facebook, LinkedIn, X, TikTok, YouTube). Your use of those platforms remains subject to their own terms. You authorize us to access them on your behalf to provide the Service, and you are responsible for complying with each platform's rules. We are not liable for any action a platform takes against your accounts.

You agree not to use the Service to:

- publish spam, deceptive, fraudulent, or misleading content;

- post illegal, defamatory, harassing, hateful, or infringing content;

- breach any third-party platform's rules;

- transmit malware or attempt unauthorized access;

- reverse-engineer, copy, or resell the Service except as permitted by law;

- build or assist a competing product.

We may suspend or terminate accounts that violate this section.

The Service, including its software, design, and trademarks (excluding your content), belongs to Schedly or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms. "Schedly" and "Schedly.ai" and our logos may not be used without our written consent.

Our handling of personal data is described in our https://schedly.ai/policy/privacy-policy, which forms part of these Terms. We process personal data in accordance with the GDPR and applicable EU law.

- The Service is provided "as is" and "as available", without warranties of any kind. We do not warrant it will be uninterrupted, error-free, or secure, and we do not guarantee any specific reach, engagement, or business result.

- To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill.

- Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim.

- Nothing here excludes liability that cannot be excluded under applicable law, including mandatory consumer protections.

You may terminate by cancelling your subscription and closing your account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or where required by law. On termination, your right to use the Service ends and we may delete your content after a reasonable retention period. Sections that should survive termination (IP, disclaimers, liability, governing law) will survive.

We may update these Terms. We will post the new version with an updated date and, for material changes, give reasonable notice. Continued use after changes take effect means you accept them.
