These Terms of Service ("Terms") govern your use of Schedly.ai (the "Service"),  ("Schedly", "we", "us").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be at least 18 years old and able to enter into a binding contract. If you use the Service on behalf of a company, you confirm you are authorized to bind it to these Terms.

- You must provide accurate information when registering and keep it up to date.

- You are responsible for your login credentials and for all activity under your account.

- Notify us at [email protected] if you suspect any unauthorized use.

- We may suspend or terminate accounts that contain false information or are used in breach of these Terms.

Schedly lets you plan, generate, schedule, and publish content to social media platforms, including AI-assisted content and caption generation.

The Service depends on third-party platform APIs. Features may change or become unavailable if a platform changes its API, and we are not responsible for such third-party changes. We may add, modify, or remove features at any time.

- Plans. The Service is offered under paid subscription tiers as shown on our pricing page at https://schedly.ai/pricing .

- Billing. Subscriptions are billed in advance on a recurring (monthly or annual) basis through our payment processor, Stripe.

- Auto-renewal. Your subscription renews automatically each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for each renewal.

- Taxes. Prices exclude applicable taxes (e.g., VAT) unless stated otherwise.

- You may cancel anytime from your account settings. Cancellation takes effect at the end of the current billing period and you keep access until then.

- Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused features.

- EU/EEA consumers may have a statutory right of withdrawal. By starting to use the Service during any withdrawal period, you may be asked to confirm that performance begins immediately, which can affect that right.

- Ownership. You keep all rights to the content you create or upload. We do not claim ownership.

- License to us. You grant us a non-exclusive, royalty-free license to host, store, process, and publish your content solely to provide the Service (including posting to your connected accounts at your direction).

- Your responsibility. You are responsible for your content and for having all rights and permissions for any third-party material it contains.

- AI Output. The Service may generate content from your inputs. AI Output can be inaccurate or similar to content generated for others — review and verify it before publishing. We do not guarantee its originality, accuracy, or that it is free of third-party rights.

To use certain features you connect third-party accounts (e.g., Instagram, Facebook, LinkedIn, X, TikTok, YouTube). Your use of those platforms remains subject to their own terms. You authorize us to access them on your behalf to provide the Service, and you are responsible for complying with each platform's rules. We are not liable for any action a platform takes against your accounts.

You agree not to use the Service to:

- publish spam, deceptive, fraudulent, or misleading content;

- post illegal, defamatory, harassing, hateful, or infringing content;

- breach any third-party platform's rules;

- transmit malware or attempt unauthorized access;

- reverse-engineer, copy, or resell the Service except as permitted by law;

- build or assist a competing product.

We may suspend or terminate accounts that violate this section.

The Service, including its software, design, and trademarks (excluding your content), belongs to Schedly or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service under these Terms. "Schedly" and "Schedly.ai" and our logos may not be used without our written consent.

Our handling of personal data is described in our https://schedly.ai/policy/privacy-policy, which forms part of these Terms. We process personal data in accordance with the GDPR and applicable EU law.

- The Service is provided "as is" and "as available", without warranties of any kind. We do not warrant it will be uninterrupted, error-free, or secure, and we do not guarantee any specific reach, engagement, or business result.

- To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for loss of profits, data, or goodwill.

- Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim.

- Nothing here excludes liability that cannot be excluded under applicable law, including mandatory consumer protections.

You may terminate by cancelling your subscription and closing your account. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or where required by law. On termination, your right to use the Service ends and we may delete your content after a reasonable retention period. Sections that should survive termination (IP, disclaimers, liability, governing law) will survive.

We may update these Terms. We will post the new version with an updated date and, for material changes, give reasonable notice. Continued use after changes take effect means you accept them.
